Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mediux AI ("Company," "we," "us," or "our") governing your access to and use of the Mediux AI platform, website, APIs, and related services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement.

Mediux AI is an AI-powered social media management platform that enables users to create, schedule, publish, and analyze content across multiple social media platforms including but not limited to Instagram, Facebook, X (formerly Twitter), LinkedIn, TikTok, YouTube, Reddit, and Pinterest ("Connected Platforms").

The Service includes the following core features:

• Content Creation: AI-assisted caption generation, image ideation, video scripts, and brand voice tools.
• Scheduling & Publishing: Queue management, calendar views, bulk upload, best-time recommendations, and automated posting.
• Analytics & Reporting: Performance metrics, audience insights, competitor analysis, and exportable reports.
• Trend Intelligence: Keyword trending, competitor tracking, and AI-generated content opportunity suggestions.
• Team Collaboration: Multi-user workspaces, role-based permissions, and brand management.
• Auto-Replies & Engagement: Automated response rules, inbox management, and engagement flows.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users where practicable.

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at support@mediuxai.com if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard your credentials.

You may not share your account with others, create accounts using automated means, or create accounts to circumvent restrictions we have placed on you.

The Service connects to third-party social media platforms through their official APIs. By connecting a social account you authorize us to access, retrieve, and publish content on your behalf as permitted by those platforms.

4.1 Meta (Facebook & Instagram)

When you connect your Facebook or Instagram account, we access your account through the Meta Platform APIs in compliance with Meta's Platform Terms and Developer Policies. We use this access solely to provide the Service features you request (scheduling posts, reading analytics, managing comments). We do not sell, transfer, or use Meta Platform Data for advertising targeting, profiling, or any purpose not disclosed in our Privacy Policy. You may revoke access at any time through your Facebook or Instagram settings.

4.2 Google (YouTube)

When you connect your Google or YouTube account, we access your account through the Google APIs in compliance with Google API Services Terms of Service. Our use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke our access at any time through your Google Account settings at myaccount.google.com/permissions.

4.3 X (Twitter)

When you connect your X account, we access your account through the X API in compliance with X Developer Agreement and Policy. We use this access solely for posting, scheduling, and analytics features within the Service.

4.4 LinkedIn

When you connect your LinkedIn account, we access your account through the LinkedIn API in compliance with LinkedIn API Terms of Use. We use this access to publish content, retrieve analytics, and manage your LinkedIn presence through the Service.

4.5 TikTok

When you connect your TikTok account, we access your account through the TikTok API in compliance with TikTok's Platform Terms. We use this access only for scheduling, publishing, and analytics purposes as disclosed in our Privacy Policy.

4.6 Pinterest & Reddit

Connections to Pinterest and Reddit are governed by their respective developer terms of service. We access only the permissions required to deliver the features you have enabled and do not use this data for any unauthorized purpose.

4.7 Third-Party Platform Compliance

Your use of Connected Platforms through our Service must comply with each platform's own terms of service. We are not responsible for changes to third-party APIs that may affect our Service. You are solely responsible for ensuring your content and activities comply with the rules of each platform you connect.

"User Content" means any text, images, videos, captions, data, or other material you upload, generate, publish, or transmit through the Service.

You retain all ownership rights in your User Content. By using the Service, you grant Mediux AI a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and transmit your User Content solely to the extent necessary to operate and provide the Service to you.

You represent and warrant that: (a) you own or have the necessary rights to all User Content you submit; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

We do not claim ownership of your User Content and will not use it for training AI models without your explicit consent.

You agree not to use the Service to:

• Violate any applicable law or regulation, including those of the social platforms you connect.
• Post spam, unsolicited messages, or engage in artificial amplification of content.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or any code of a destructive or disruptive nature.
• Attempt to gain unauthorized access to any system, network, or data.
• Scrape, crawl, or data-mine the Service without our written permission.
• Use the Service to harass, abuse, threaten, or defame others.
• Circumvent, disable, or interfere with security-related features of the Service.
• Use the Service to generate or distribute misinformation, hate speech, or content that incites violence.
• Violate the privacy of others, including collecting personal information without consent.
• Engage in any activity that could damage, disable, overburden, or impair the Service.

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

The Service and its original content (excluding User Content), features, functionality, design, and AI models are and will remain the exclusive property of Mediux AI and its licensors. Our trademarks, logos, and service marks may not be used without our prior written consent.

We respect intellectual property rights. If you believe any content on the Service infringes your copyright, please contact us at legal@mediuxai.com with a description of the allegedly infringing material and your contact information.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

Certain features of the Service are available on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. All fees are in US Dollars unless stated otherwise.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will continue to have access to the Service until that date.

We do not offer refunds for partial billing periods except where required by applicable law. We reserve the right to change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service. We do not store your full card details on our servers.

You may terminate your account at any time by going to Account Settings and selecting "Delete Account," or by contacting us at support@mediuxai.com.

We may suspend or terminate your access to the Service at our sole discretion, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service immediately ceases.

Upon account deletion, we will delete your personal data in accordance with our Privacy Policy. Certain data may be retained as required by law or legitimate business purposes (e.g., financial records, fraud prevention).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any content posted or scheduled will reach its intended audience or achieve particular results; (c) AI-generated content will be accurate, appropriate, or suitable for your use; or (d) results obtained through the Service will meet your expectations.

We are not responsible for any content posted to social platforms on your behalf or for any actions taken by those platforms, including removal of content or suspension of your accounts.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDIUX AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Mediux AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including Connected Platform terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mediux AI is incorporated, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, either party may pursue binding arbitration under the rules of the applicable arbitration body, or seek relief in courts of competent jurisdiction where arbitration is not enforceable.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

We reserve the right to update these Terms at any time. We will provide notice of material changes by email or by a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service before the effective date and may request account deletion.
